Model Agreement

This Agreement is entered into by and between DEM Management Ltd, trading as Diamond Elite Models ("the Agency"), and you ("the Model"). By ticking the box and submitting the application form, the Model agrees to the terms and conditions outlined herein, and this Agreement becomes effective immediately upon submission.

1. Agency and Model Information

​​As part of your relationship with the Agency, you will be assigned to one of the two platforms we work with: Streamate (SM) or Stripchat (SC). Your specific platform allocation will be determined during the onboarding process.

You are required to carefully review and sign the agreement provided by your allocated platform. This step ensures you are fully aware of and comply with the rules, guidelines, and expectations outlined by the respective platform.​

By entering this agreement, you acknowledge and agree to fulfill all requirements and obligations stated herein.

2. Application Information

Upon applying you will be asked to supply certain information relevant to your account including, but not limited to, your name, date of birth, phone number, email address and identification documents.

3. Age Requirement

You, the Model, must be 18 years of age or older at the time of submitting your application to the Agency, or the age of majority in your country (for example in Canada the age of majority is 19). You, the Model, can provide identification documents to prove that you are the age of majority in your country.

4. Consent and Third-Party Sharing

When applying with the Agency you, the Model, are automatically giving consent for us to share your personal information with our third-party partners ICF Technology Inc (SM), Technius Ltd (SC) and for our own use in managing your account. You can read more about this in our Privacy Policy.

5. Network Broadcasting Rules

You, the Model, must follow all broadcasting rules when broadcasting over the networks offered by SM and SC. These rules can be found on the platform you will be streaming from and you will be asked to sign a separate agreement with each platform to acknowledge them. If you fail to follow the platform rules your account may be permanently removed from the platform.

6. Scope of Work

You, the Model, are only required to perform services you are comfortable with. The Model is not obligated to provide any services unless these have been explicitly agreed upon with a member, and the member has paid for or is paying for the service.

7. Payment and Compensation
a. Currency Fluctuations:

Where you earn in dollars, you may find your payout in pounds fluctuates with the changes in exchange rate.

b. Model Responsibilities

Models are responsible for providing accurate payment information. Payments made to the wrong payment account may not be recovered. Models are entitled to choose how much they charge customers wishing to engage in a paid service.

Payments are made weekly every Friday, 2 weeks in arrears. Models based in the UK are paid directly into their bank account. Models based outside of the UK are paid via Paxum, provided Paxum operates in the Model's country.

If the Model is paid incorrectly, they agree to promptly notify us of the error and return the incorrect payment as soon as possible. In the event that we notify the Model of a payment discrepancy, the Model agrees to return the overpaid amount without delay. Both parties agree to work together to resolve any payment issues, with the Agency committing to rectify any payment discrepancies as quickly as possible.

8. Schedule and Availability

Models are not required to adhere to a set schedule or minimum number of hours but are encouraged to work at least 10 hours per week. If a Model does not work for 6 months, their account may be closed. Models who are inactive for more than 1 month are removed from the group chat and training sections but may rejoin when they resume work.

9. Agency Support

The Agency provides training and support throughout the Model's time with the Agency. The training is conducted through live video sessions, phone calls, and via written forms and videos on Telegram and WhatsApp. To access all the training and the group chat, the Model must join Telegram.

The training is occasionally updated, there may be times it's not accessible while it is being updated.​

10. Exclusivity

Models are not required to work exclusively with the Agency or the platforms. However, the Agency recommends Models focus on one platform for better performance and advises working exclusively with the Agency on their allocated platform.

11. Content Ownership & Privacy

The Agency does not claim ownership of content uploaded by the Model on any platform. Models should refer to the specific terms of their allocated platform for content ownership details. We may use the Model's photos or excerpts from the Model's streams to promote their shows and help drive more traffic to their profile. If the Model prefers not to have their content used for these purposes, they must notify us immediately.

The Agency complies with GDPR and prioritises the protection of Models' personal information. Platforms used by the Agency also adhere to similar standards.

12. Termination Clause & Platform Rules

We may terminate or suspend access to our service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to the Model breaching either our Terms or the Terms of SM or SC. It is the Model’s responsibility to familiarise themselves with the rules for each platform. The Agency cannot be held responsible for the Model not properly reading each platforms Agreements and ensuring they understand what they can and cannot do on each platform. We provide a direct link to each platform's rules, and they may be updated at any time. Model confirms it is their responsibility to understand the rules, and the terms and conditions for each site and will review changes when prompted by the platform to do so. If the Model does not understand something, it is their responsibility to contact the Agency or the platform directly for clarification.

You, the Model, are free to discontinue your relationship with us at any time and without penalty, to do this you may contact us via email, WhatsApp or Telegram. Any commission due will be paid on the normal schedule. If you, the Model, decide to discontinue your relationship with us, you will be unable to make another account on the platform for a period of 6 months.

13. Model Conduct & Behaviour Standards

The Model is strictly prohibited from coercing, pressuring, or encouraging other models to join competing platforms, agencies, or services. Any attempt to solicit or recruit models to other sites or agencies will be considered a breach of this agreement and may result in immediate termination of the Model’s contract and legal action, if necessary.

The Agency has a strict policy against harassment. Any actions involving harassment, disruption, teasing, or mocking of other models, whether in group chats or other interactions, may result in the suspension or termination of your account. Additionally, you are prohibited from engaging in any behavior that is unlawful, harmful, threatening, abusive, defamatory, obscene, hateful, or discriminatory towards other models. We are committed to fostering a positive, supportive environment for all models. We expect all models to act with professionalism, maturity, and respect, and to encourage each other's success.

14. Self-Employment

You, the Model, will remain a self-employed independent contractor in his or her relationship to the Agency. The Agency shall not be responsible for taxes with respect of commission earned by the Model. Models have no claim against holiday pay, sick pay, retirement benefits, social security, workers compensation, health or disability benefits, unemployment insurance or employee benefits of any kind, as you are not an employee of the Agency.

15. Alternative Dispute Resolution (ADR)

In the event of any disagreement or dispute arising from or relating to this agreement, the parties agree to first attempt to resolve the issue through mediation with a mutually agreed-upon, neutral third party. If mediation does not result in a satisfactory resolution within a reasonable timeframe, the dispute shall be resolved through arbitration in accordance with the rules of the Arbitration Act 1996. The decision of the arbitrator(s) shall be final and binding on both parties. The costs of mediation and arbitration shall be shared equally between the parties, unless otherwise agreed.

16. Force Majeure

Neither the Agency nor the Model shall be held liable for any failure or delay in performing their obligations under this Agreement if such failure or delay is caused by events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, strikes, government actions, pandemics, power outages, or other circumstances that make performance impossible or impracticable. In the event of a Force Majeure, the affected party shall notify the other party as soon as reasonably practicable, and both parties will work together in good faith to minimise the impact on their respective obligations.

17. Confidentiality

The Model agrees to maintain strict confidentiality regarding all information related to the the Agency and any associated materials. This includes, but is not limited to, training materials, group chat discussions, business strategies, operational processes, proprietary systems, and any other confidential or sensitive information that may be disclosed during the term of this agreement. The Model agrees not to disclose, share, or use any confidential information for any purpose other than as expressly permitted under this agreement. This confidentiality obligation remains in effect even after the termination of the Model’s contract with the agency.

18. Indemnification

The Model agrees to indemnify, defend, and hold harmless the agency, its directors, officers, employees, and affiliates from and against any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or in connection with the Model's actions, negligence, or breach of this agreement. This indemnification obligation includes, but is not limited to, any claims related to intellectual property infringement, defamation, or any other legal action caused by the Model’s conduct or failure to comply with the terms of this agreement.

19. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20. Changes

We reserve the right to modify this agreement at our discretion. Models will be notified of any changes.

Please review the terms of this Agreement thoroughly. Ticking the box on the application form shall constitute the Model’s electronic signature, which is equivalent to a handwritten signature for the purposes of this Agreement. In the event of any conflict or inconsistency between the terms of this Agency Model Agreement and the terms of the platform’s Model Agreement, the terms of the platform’s Model Agreement shall take precedence.
